1. Agreement to Terms

By accessing or using the website and services of Asset Lino LLC ("we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, users, and clients who access or use our website, services, or engage with us for web development projects.

2. Services

We provide website design, development, and related digital services. The specific scope, deliverables, timeline, and terms for each project will be set out in separate project agreements or statements of work ("Project Agreement").

Project Scope: All services are provided according to the specifications outlined in the Project Agreement. Any changes to the scope may result in additional fees and timeline adjustments, subject to mutual agreement.

Client Responsibilities: Clients are responsible for providing accurate information, timely feedback, necessary content and materials, and access to required systems or accounts.

3. Payment Terms

Payment terms for projects will be specified in the Project Agreement. Generally, payments are structured as follows:

Late Payments: Payments are due within 15 days of invoice date unless otherwise specified. Late payments may incur a 1.5% monthly interest charge. We reserve the right to suspend work on projects with overdue payments.

Refunds: Refund policies are outlined in our Refund Policy. Generally, payments for completed work are non-refundable.

Currency: All prices are in USD unless otherwise specified. International clients may be subject to currency conversion fees.

4. Intellectual Property Rights

Intellectual property ownership is an important aspect of our service agreements. The following table outlines ownership rights:

Website Content: All content on our website (text, graphics, logos, designs) is owned by Asset Lino LLC or its licensors. You may not copy, modify, distribute, or create derivative works without our written permission.

Client Content: Clients retain ownership of their content, branding, and materials provided to us. By providing content, clients grant us a license to use it for the purpose of completing the project.

Portfolio Rights: We reserve the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

5. Use of Website

You may use our website for lawful purposes only. You agree not to:

  • Attempt to gain unauthorized access to our systems, servers, or networks
  • Transmit any viruses, malware, or harmful code
  • Use automated systems (bots, scrapers) to access our website without permission
  • Interfere with or disrupt the website's operation or security
  • Use the website in any way that could harm us, our clients, or third parties
  • Copy, reproduce, or resell any content without permission
  • Impersonate any person or entity or misrepresent your affiliation

We reserve the right to terminate or suspend access to our website for anyone who violates these Terms.

6. Project Timeline and Delays

Project timelines are estimates based on the scope outlined in the Project Agreement. While we strive to meet deadlines, delays may occur due to:

  • Client delays in providing feedback, content, or approvals
  • Changes to project scope requested by the client
  • Unforeseen technical challenges
  • Third-party service delays (hosting, APIs, etc.)
  • Force majeure events

We will communicate any anticipated delays promptly. Timeline adjustments may result in additional costs if they are due to scope changes or client delays.

7. Warranties and Disclaimers

Service Warranty: We warrant that our services will be performed in a professional and workmanlike manner. We will correct any defects in our work for 30 days after project completion at no additional charge, provided the defects are due to our error.

No Guarantees: We do not guarantee specific results such as increased traffic, sales, or rankings. Results depend on various factors beyond our control, including market conditions, client actions, and third-party services.

Third-Party Services: We are not responsible for the availability, performance, or terms of third-party services (hosting, payment processors, APIs, etc.) used in projects.

8. Limitation of Liability

To the fullest extent permitted by law, Asset Lino LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Cost of substitute services
  • Business interruption
  • Damages resulting from third-party actions or services

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

9. Termination

By Client: Clients may terminate a project by providing written notice. Payment is due for all work completed up to the termination date. Any prepayments for work not yet completed may be refunded subject to our Refund Policy.

By Us: We may terminate a project if:

  • The client breaches these Terms or the Project Agreement
  • Payments are overdue by more than 30 days
  • The client engages in illegal or unethical activities
  • We are unable to continue due to circumstances beyond our control

Upon termination, clients are responsible for payment of all completed work and any termination fees specified in the Project Agreement.

10. Confidentiality

We respect the confidentiality of client information and project details. We will not disclose confidential information to third parties except:

  • With the client's written consent
  • As required by law or court order
  • To our employees, contractors, or service providers who need the information to perform their duties (under confidentiality agreements)
  • In connection with legal proceedings

Clients are also expected to maintain confidentiality regarding our proprietary methods, pricing, and business practices.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Flathead County, Montana.
